General terms and conditions of sale

Preamble
These General Terms and Conditions of Sale (hereinafter referred to as the "GTC") govern the contractual relations between Zendure DE GmbH (hereinafter referred to as "Zendure" or "the Seller") and any individual of legal age acting as a consumer (hereinafter referred to as "the Customer" or "the Buyer") in the context of purchasing products marketed on the website zendure.com (hereinafter referred to as "the Site").
These GTC are intended to define the rights and obligations of the parties in the context of the online sale of products by Zendure to the Customer.
The Customer acknowledges having read these GTC prior to placing their order and accepts them without reservation. Validation of the order by the Customer constitutes irrevocable acceptance of these GTC.
Zendure reserves the right to modify these GTC at any time. Modifications shall apply to orders placed after their entry into force.
Article 1 – Identity of the Seller

Article 2 – Scope of Application
These GTC apply, without restriction or reservation, to all sales of products offered by Zendure on the Site to consumers residing in France, Germany, the Netherlands, and Belgium.
Zendure reserves the right to adapt or modify these GTC at any time. In the event of modification, the applicable GTC are those in force on the date of the order.
Article 3 – Products
3.1 Essential characteristics
The essential characteristics of the products offered for sale (including batteries, inverters, solar panels, accessories) are presented on the Site, including:

3.2 Price – Manifest error
If, due to a technical error, data entry error or system error, a manifest pricing error occurs, Zendure reserves the right to cancel the order and fully refund the Customer. The Customer will be informed without delay.
Article 4 – Price
4.1 Price including VAT
The prices of products are indicated on the Site in euros (€), including all taxes (VAT inclusive). The applicable VAT rate is that in force in the Customer's country of residence (currently 20% in France, 21% in the Netherlands and 21% in Belgium). Delivery costs are indicated separately before order validation.
The total price including all taxes and mandatory fees is communicated to the Customer before the conclusion of the contract.
4.2 Price modification
Zendure reserves the right to modify its prices at any time. Products are invoiced on the basis of the prices in force at the time the order is recorded, subject to availability.
4.3 Import taxes (outside EU)
For deliveries outside the European Union, prices are shown exclusive of tax. The Customer is responsible for any taxes and customs duties applicable in the delivery country, and assumes full responsibility for them.
Article 5 – Order
5.1 Order process
The order is placed in several steps:

Final validation of the order
5.2 Order confirmation
Following validation, Zendure sends the Customer a confirmation e-mail summarizing the order details (products, prices, delivery costs, delivery address). The sales contract is formed upon receipt of this confirmation e-mail.
5.3 Data retention
Zendure retains order information for as long as necessary for its management and in compliance with legal retention obligations.
Article 6 – Payment
6.1 Accepted payment methods
The Customer may pay for their order using the following methods:

Klarna (invoice payment, instalment payment, direct debit)
6.2 Payment security
Payments are secured using encryption protocols compliant with current standards (SSL/TLS). Zendure does not have access to the Customer's banking data, which is processed directly by the payment provider.
6.3 Debit
The Customer's account is debited at the time the order is shipped, unless otherwise stated in the specific terms of the offer.
6.4 Non-payment
In the event of payment refusal, Zendure reserves the right to suspend or cancel the order.
Article 7 – Delivery
7.1 Delivery costs and times
Delivery costs and times are indicated on the Site before order validation. Delivery times run from the date of order confirmation by Zendure.
The Customer is informed of the date or period within which the Seller undertakes to deliver the goods.
7.2 Delivery methods
Delivery is carried out:

By carrier (for bulky products such as solar panels)

By postal service (for accessories and small equipment)
7.3 Transfer of risk
The risk of loss or damage to the products passes to the Customer when the Customer (or a third party designated by them) takes physical possession of the goods.
7.4 Receipt – Reservations
Upon receipt, the Customer must check the apparent condition of the products. In the event of an anomaly (missing, damaged, non-conforming product), the Customer must:

Make precise reservations on the carrier's delivery note

Confirm these reservations to Zendure by e-mail within 3 working days of delivery
7.5 Delivery delay
In the event of failure to meet the delivery date or period, the Customer may, after instructing Zendure to perform within a reasonable additional period, cancel the order in accordance with applicable consumer protection laws.
Article 8 – Right of withdrawal
8.1 14-day period
The Customer has a period of fourteen (14) days from receipt of the product to exercise their right of withdrawal, without having to provide reasons or pay penalties, in accordance with EU Directive 2011/83/EU and applicable national laws.
Extension to 30 days: Zendure offers the Customer an extended withdrawal period of thirty (30) days from receipt of the product.
8.2 How to exercise the right
The Customer may exercise their right of withdrawal by:

8.4 Effects of withdrawal
In the event of withdrawal, Zendure reimburses all sums paid (product price + standard delivery costs) within a maximum of fourteen (14) days from the date on which Zendure is informed of the Customer's decision to withdraw.
8.5 Return costs
The direct costs of returning the products are borne by the Customer.
8.6 Condition of returned products
Products must be returned complete and in perfect resalable condition (in their original packaging, with accessories and instructions). If the product is depreciated due to handling other than that necessary to establish the nature, characteristics and proper functioning of the product, the Customer may be held liable for such depreciation.
8.7 Exceptions to the right of withdrawal
The right of withdrawal cannot be exercised for:

Sealed products that have been unsealed after delivery and cannot be returned for reasons of hygiene or health protection

Products that, after delivery, are inseparably mixed with other items
Article 9 – Guarantees
9.1 Commercial guarantees
Any commercial guarantees offered by Zendure (duration, scope, conditions, and exclusions) are detailed on our dedicated page: Zendure Warranty Policy. This page forms an integral part of these GTC.
Legal guarantees: In addition to any commercial guarantees, the Customer benefits from legal guarantees of conformity and against hidden defects under the laws of their country of residence (e.g., 2-year legal guarantee of conformity in France, the Netherlands and Belgium). These legal guarantees apply independently of any commercial guarantee offered by Zendure.
Article 10 – Intellectual Property
All elements of the Site (texts, images, logos, videos, databases, source codes) are the exclusive property of Zendure or its licensors. Any reproduction, representation, modification, publication, adaptation, in whole or in part, of the elements of the Site, by any means or process whatsoever, is prohibited without the prior written consent of Zendure.
Article 11 – Personal Data Protection
Information collected during the ordering process is subject to computer processing for order management and customer relations. In accordance with the General Data Protection Regulation (GDPR) and applicable national laws, the Customer has the right to access, rectify, erase, restrict, port and object to the processing of their data on legitimate grounds.

Article 12 – Mediation and Dispute Resolution
12.1 EU Online Dispute Resolution Platform
The European Commission provides an online dispute resolution (ODR) platform available at: https://ec.europa.eu/consumers/odr/
The Customer may use this platform to resolve any dispute arising from these GTC.
12.2 National Mediation Bodies
Depending on the Customer's country of residence:

12.3 No obligation to participate
Zendure is neither obliged nor willing to participate in dispute resolution proceedings before a consumer arbitration board, with the exception of the bodies listed above.
Article 13 – Applicable Law – Disputes
These GTC are governed by the law of the Customer's country of residence (France, the Netherlands or Belgium), to the exclusion of the United Nations Convention on Contracts for the International Sale of Goods.
For consumer Customers, this provision does not deprive the Customer of the mandatory provisions of the law of their country of habitual residence.
In the event of a dispute, the Customer may bring proceedings before the courts of their place of residence or any competent court in accordance with applicable procedural law.
Article 14 – Partial Invalidity
If one or more provisions of these GTC are held to be invalid or declared as such pursuant to any law, regulation or final decision of a competent court, the other provisions shall remain in full force and effect.
Article 15 – Evidence
The conclusion of the contract by electronic means is binding on the parties. Zendure's computerised records constitute proof of all transactions between Zendure and the Customer.
Article 16 – Language
These GTC are drafted in English. For customers in France and the French-speaking community of Belgium, a French version is available upon request. For customers in the Netherlands and the Dutch-speaking community of Belgium, a Dutch version is available upon request. In the event of any conflict between language versions, the English version shall prevail.
